These Terms of Service ("Terms") govern your access to and use of the GPTHelp.ai website, platform, and services (collectively, the "Service") operated by Miniapps, LLC ("Company," "we," "us," or "our"), a Delaware limited liability company.

2. Description of the Service

GPTHelp.ai is an AI-powered chatbot platform that allows users to create custom chatbots trained on their website content, uploaded files, and other data sources. The Service provides tools to customize, deploy, and manage AI chatbots for customer support and engagement purposes.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscription Plans and Pricing

The Service is offered under various subscription plans, including a free tier and paid tiers. Details about the features, limitations, and pricing of each plan are available on our Pricing page.

We reserve the right to modify our pricing and plans at any time. Changes to pricing will be communicated to existing subscribers in advance and will take effect at the next billing cycle.

5. Payment Terms

Paid subscriptions are billed on a recurring monthly basis. All payments are processed securely through Stripe, a third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

All fees are stated in US Dollars (USD) and are exclusive of applicable taxes, which will be added where required by law.

You are responsible for providing valid and up-to-date payment information. If a payment fails, we may suspend or terminate your access to paid features until payment is resolved.

6. Refund and Cancellation Policy

You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation:

• Your subscription will remain active until the end of the current billing period.
• You will not be charged for subsequent billing periods after cancellation.
• No prorated refunds are provided for the remaining time in the current billing period.

If you believe you have been charged in error, please contact us at [email protected] within 30 days of the charge. We will review your request and, if appropriate, issue a refund.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Upload, train, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service to send unsolicited messages (spam) or engage in phishing.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any aspect of the Service.
• Resell, redistribute, or sublicense access to the Service without prior written consent.

You retain all rights to the content you upload to or create through the Service. By uploading content, you grant us a limited, non-exclusive license to use, process, and store that content solely for the purpose of providing the Service to you.

The Service integrates with third-party services including, but not limited to, OpenAI (for AI language models), Stripe (for payment processing), and various messaging platforms. Your use of these third-party services is subject to their respective terms and privacy policies.

We are not responsible for the availability, accuracy, or content of third-party services, and your use of such services is at your own risk.

10. AI-Generated Content Disclaimer

The chatbots created through the Service use artificial intelligence to generate responses based on the training data you provide. While we strive for accuracy, AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate.

You are solely responsible for reviewing and monitoring the responses generated by your chatbots. We disclaim any liability for actions taken based on AI-generated content.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

12. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

We may also update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Effective Date." Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MINIAPPS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Miniapps, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.
